Acceptable Use Policy

1. Introduction

This Acceptable Use Policy ("AUP") governs the use of Stashlify's cloud-based inventory management platform, storefronts, APIs, and related services (the "Services") by all Account Holders, Merchants, staff members, and End Customers. This AUP is incorporated into and forms part of our Terms of Service.

Stashlify is a Software-as-a-Service (SaaS) technology provider. We provide digital tools for inventory management, storefront operations, and payment processing integration. We do not manufacture, sell, distribute, or fulfill any physical goods. All commercial transactions conducted through the platform occur exclusively between Merchants and their End Customers.

As a platform that integrates with regulated payment processors, we maintain strict policies to ensure the integrity and safety of all transactions facilitated through our Services. Violation of this AUP may result in immediate suspension or termination of your account.

2. Prohibited Products and Services

Merchants may not use the Services to list, advertise, sell, or facilitate the sale of the following categories of products or services:

2.1 Counterfeit and Infringing Goods

  • Counterfeit, replica, or "inspired by" products that infringe on trademarks, patents, or copyrights
  • Unauthorized reproductions of branded goods, including footwear, apparel, accessories, and collectibles
  • Products with altered, removed, or falsified brand labels, tags, or certification marks
  • Goods described using misleading terms such as "UA," "AAA quality," "mirror," "1:1," or similar language that implies counterfeit origin
  • Products that misrepresent their origin, manufacturer, or authenticity status

2.2 Stolen or Illegally Obtained Goods

  • Merchandise that has been stolen, misappropriated, or obtained through fraud
  • Goods acquired through unauthorized means, including employee theft or warehouse diversion
  • Products with no verifiable chain of custody or provenance

2.3 Regulated and Prohibited Items

  • Controlled substances, illegal drugs, and drug paraphernalia
  • Weapons, firearms, ammunition, and explosives
  • Tobacco products, e-cigarettes, and vaping supplies
  • Alcoholic beverages (unless properly licensed and in compliance with local law)
  • Adult or sexually explicit content and products
  • Hazardous materials and toxic substances
  • Wildlife products, endangered species items, or products derived from protected animals
  • Products subject to government recall or ban

2.4 Fraudulent and Deceptive Offerings

  • Pyramid schemes, multi-level marketing schemes, or Ponzi schemes
  • Products with intentionally misleading descriptions, images, or specifications
  • Services or products designed to defraud End Customers
  • Fake reviews, manipulated ratings, or artificially inflated social proof

3. Merchant Verification and Onboarding

To maintain the integrity of our platform and protect End Customers and payment partners, Stashlify implements the following merchant verification procedures:

3.1 Account Verification

  • Identity Verification: All Account Holders must provide a valid government-issued identification document and a verifiable email address during registration
  • Business Verification: Merchants operating as registered businesses must provide proof of business registration (DTI, SEC, or BIR Certificate of Registration as applicable)
  • Contact Verification: A verified phone number and email address are required for all merchant accounts

3.2 Product Listing Review

  • New merchant accounts are subject to an initial review period during which product listings may be reviewed for compliance with this AUP
  • Merchants dealing in high-value branded goods (footwear, luxury items, collectibles) may be required to provide proof of authorized sourcing or purchase receipts upon request
  • Product listings that contain descriptions, images, or pricing inconsistent with authentic goods may be flagged for review

3.3 Consignment Verification

Merchants who accept consignment inventory are responsible for verifying the authenticity and legal ownership of all consigned goods before listing them on the platform. Stashlify's consignment management tools include consignor identification tracking to support accountability and traceability in the supply chain.

4. Ongoing Monitoring and Compliance

Stashlify actively monitors platform activity to detect and prevent violations of this AUP:

4.1 Automated Monitoring

  • Product listing content is screened for keywords and patterns commonly associated with counterfeit goods
  • Unusual transaction patterns (e.g., abnormally high dispute rates, rapid inventory turnover at suspiciously low prices) are flagged for manual review
  • Audit logs track all administrative actions, inventory changes, and financial transactions for accountability

4.2 Manual Review

  • Our trust and safety team conducts periodic reviews of merchant accounts and product listings
  • Merchants may be asked to provide additional documentation, including purchase invoices, certificates of authenticity, or supplier agreements, to verify the legitimacy of their inventory
  • Failure to provide requested documentation within seven (7) business days may result in suspension of the account or removal of the flagged listings

4.3 Chargeback and Dispute Monitoring

Merchants are expected to maintain a chargeback rate below 1% of total transactions. Merchants whose chargeback or dispute rates exceed this threshold will be placed under review and may be subject to restrictions, enhanced monitoring, or account termination. We work closely with our payment processing partners to investigate and resolve disputes promptly.

5. Enforcement and Consequences

Violations of this AUP are addressed through a graduated enforcement process, except in cases requiring immediate action:

5.1 Graduated Enforcement

Level 1: Warning

First violation of a minor nature. The Merchant receives a written notice identifying the violation and a deadline for remediation (typically 48 hours). The offending listing or content must be corrected or removed.

Level 2: Listing Removal

Repeated minor violations or a single moderate violation. Offending product listings are removed. The Merchant is notified and provided guidance on compliance. A formal record is added to the account.

Level 3: Account Suspension

Continued violations after prior warnings, or a single serious violation. The merchant account is suspended pending investigation. The Merchant may appeal within fourteen (14) days by providing evidence of compliance.

Level 4: Account Termination

Repeated serious violations, failure to remediate after suspension, or any violation involving counterfeit goods, fraud, or illegal activity. The account is permanently terminated. The Merchant is provided thirty (30) days to export their data (excluding prohibited listings).

5.2 Immediate Action

Stashlify reserves the right to bypass the graduated enforcement process and take immediate action (including immediate suspension or termination without prior notice) in the following circumstances:

  • Sale or attempted sale of counterfeit goods
  • Evidence of fraud, theft, or illegal activity
  • Activity that poses an imminent risk to End Customers, payment partners, or the integrity of the platform
  • Receipt of a valid legal notice, court order, or takedown request from a rights holder
  • Request from a payment processing partner to suspend the account

6. Intellectual Property and Trademark Claims

6.1 Respect for Intellectual Property

Stashlify respects the intellectual property rights of brand owners and third parties. Merchants are required to ensure that all products listed on the platform are authentic, legally sourced, and do not infringe on the intellectual property rights of any third party.

6.2 Reporting Infringement

If you are a brand owner, intellectual property rights holder, or authorized representative and believe that a product listed on the Stashlify platform infringes your rights, you may submit a takedown request to:

Your takedown request must include:

  • Identification of the intellectual property right being infringed (trademark registration number, copyright registration, etc.)
  • Identification of the infringing product listing(s), including URL(s) or product identifiers
  • A statement that you have a good-faith belief that the use of the material is not authorized by the rights owner
  • Your contact information (name, organization, email, phone number)
  • A declaration, under penalty of perjury, that the information provided is accurate and that you are the rights holder or an authorized representative

6.3 Response to Claims

Upon receipt of a valid takedown request, Stashlify will: (a) promptly remove or disable access to the identified listing(s), typically within two (2) business days; (b) notify the affected Merchant of the claim and the action taken; (c) provide the Merchant an opportunity to submit a counter-notice if they believe the claim is erroneous; and (d) cooperate with the rights holder and relevant authorities as appropriate. Repeat infringers will have their accounts terminated.

7. Platform Conduct

In addition to the product-related restrictions above, all users of the Services must not:

  • Attempt to circumvent platform security measures, authentication systems, or access controls
  • Use automated tools, scripts, or bots to access the Services without prior written authorization
  • Interfere with or disrupt the Services, servers, or networks connected to the Services
  • Harvest, scrape, or collect data from the platform or other users' storefronts without authorization
  • Impersonate another person, business, or entity
  • Use the Services to send unsolicited communications (spam) to End Customers
  • Engage in price manipulation, fake orders, or artificial inflation of sales metrics
  • Create multiple accounts to circumvent enforcement actions or platform limits
  • Reverse engineer, decompile, or disassemble any part of the Services

8. Reporting Violations

We encourage all users, End Customers, brand owners, and members of the public to report suspected violations of this AUP. Reports can be submitted through the following channels:

When reporting a violation, please include as much detail as possible: the merchant name or storefront URL, specific product listings or content in question, a description of the violation, and any supporting evidence (screenshots, links, documentation). All reports are reviewed by our trust and safety team and treated confidentially. We do not disclose the identity of reporters to the accused party unless required by law.

9. Payment Processor Compliance

Stashlify integrates with third-party payment processors, including PayMongo, to facilitate subscription billing and merchant payment processing. All Merchants must comply with the terms of service and acceptable use policies of our payment processing partners in addition to this AUP.

Payment processors may independently review transactions, flag suspicious activity, or require additional information from Merchants. Stashlify cooperates fully with payment processor investigations and may be required to take action on a merchant account at the request of a payment partner, including suspension, termination, or withholding of funds.

Merchants are responsible for maintaining compliance with the Payment Card Industry Data Security Standard (PCI-DSS) to the extent applicable to their operations. Stashlify does not store, process, or transmit cardholder data directly; all payment credentials are handled by our PCI-DSS compliant payment processing partners.

10. Merchant Obligations for Product Authenticity

Merchants using the platform to sell branded goods, including but not limited to footwear, apparel, watches, and collectibles, bear full responsibility for the authenticity of their inventory. Specifically:

  • Sourcing: Merchants must source products through authorized retailers, distributors, or verified secondary markets. Merchants should maintain records of purchase receipts, invoices, or certificates of authenticity.
  • Accurate Representation: Product listings must accurately describe the item, including condition (new, pre-owned, defective), size, colorway, and any modifications. Images must depict the actual product or an accurate representation thereof.
  • Consignment Accountability: Merchants who accept consigned goods are responsible for verifying the authenticity of those goods before listing. Accepting consignment does not transfer liability for product authenticity from the Merchant.
  • Dispute Resolution: Merchants must respond promptly and in good faith to customer complaints regarding product authenticity. If an End Customer receives a product that is not as described, the Merchant is responsible for providing a refund or exchange in accordance with their published return policy and applicable consumer protection law.
  • Cooperation with Investigations: Merchants must cooperate fully with any investigation by Stashlify, payment partners, or authorities regarding product authenticity. Failure to cooperate is grounds for immediate account suspension.

11. Changes to This Policy

We may update this Acceptable Use Policy from time to time to reflect changes in our practices, legal requirements, or the requirements of our payment processing partners. We will notify Account Holders of material changes by email or through a prominent notice on the platform at least fifteen (15) days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised policy.
